The above information is provided in accordance with Articles 5 and 6 of Romanian Law no. 365/2002 on electronic commerce.

  • Seller — GLOBIZ GROUP SRL.
  • Buyer / Partner — the professional (legal entity, authorised self-employed person, sole proprietorship or other entity carrying out an economic activity) who has created an account on the Platform and buys products for the purposes of its business, in particular for resale.
  • User — the natural person authorised by the Partner to use its account (e.g. the account administrator or an employee with a buyer role).
  • Products — the car accessories, car bulbs and other items sold on the Platform, including those under the CARGUARD brand.
  • Order — a firm purchase request sent by the Partner through the Platform or through other channels accepted by the Seller.
  • Contract — the sales contract concluded between the Seller and the Partner, consisting of the accepted order, these Terms and any written cooperation agreement.

3.1. The Platform is intended exclusively for professionals. By creating an account and placing orders, the Partner declares that it is acting for the purposes of its trade, business or profession.

3.2. Since contracts are concluded between professionals, the provisions intended to protect consumers — in particular those of Romanian Government Emergency Ordinance no. 34/2014 on consumer rights (including the 14-day right of withdrawal) and the legislation on consumer guarantees — do not apply, except where the law mandatorily provides otherwise. If a person acting as a consumer nevertheless places an order, their mandatory statutory rights remain unaffected.

3.3. These Terms prevail over the Partner's general terms, unless the parties have agreed otherwise in writing. Special clauses in a signed cooperation agreement prevail over these Terms.

3.4. By submitting the registration form (which refers to these Terms) and by ticking the acceptance box when placing each order, the Partner confirms that it has read and accepts these Terms, including the clauses on limitation of liability (chapter 14), governing law and competent court (chapter 20), which are expressly accepted within the meaning of Article 1203 of the Romanian Civil Code.

4.1. An account is required to see prices and place orders. The registration form requires the company details (name, tax identification/VAT number, address, country) and the details of the contact person.

4.2. Company verification: the intra-Community VAT number is checked in the European VIES system. Romanian companies without an intra-Community VAT number are checked in the public database of the Romanian tax authority ANAF, and companies from other countries without a VAT number are checked manually by our agents.

4.3. Every new account is created with the status "pending verification" and becomes active only after approval by the Seller. The Seller may refuse or suspend an account without being obliged to give reasons, in particular if the data cannot be verified, are incorrect or there is a suspicion of fraud.

4.4. The Partner is responsible for the accuracy of the data provided and must keep them up to date. The Seller is not liable for delays or damage caused by incorrect or incomplete data.

4.5. The Partner is responsible for keeping the password confidential and for all actions taken from its account, including by users it has added. In the event of unauthorised use, the Partner must inform the Seller immediately. Orders placed by a user with a buyer role may require approval by the account administrator before they are submitted.

4.6. After registration, the Seller's agents may contact the Partner by telephone, e-mail or WhatsApp to confirm the data and to provide commercial assistance.

5.1. The essential characteristics of the products (code, name, description, dimensions, technical specifications, compatibility, packaging unit, stock availability) are shown on each product page. Images and videos are for illustration purposes; colour, packaging or appearance may differ slightly from reality without affecting the functionality of the product.

5.2. Where required by law, products are accompanied by instructions for use and installation. If these are missing from the parcel, the Partner must inform the Seller before putting the product into service or reselling it, and the Seller will send the instructions.

5.3. As a professional, the Partner is responsible for checking the compatibility of the products with the vehicles for which it sells or installs them and for correctly informing its own customers. For any question about a product, customer service is available before the order is placed.

6.1. Prices are visible only to logged-in partners and constitute confidential commercial information. The Partner may not publish the Seller's price list or pass it on to third parties, except through the data feeds made available by the Seller, under the conditions agreed for them.

6.2. Prices are shown net, excluding VAT, in RON or, where applicable, in the settlement currency set for the Partner's account. VAT is added on invoicing in accordance with chapter 9. Prices do not include shipping costs, which are shown separately in the cart before the order is submitted.

6.3. The prices shown in the Partner's account may include individual discounts or pricing rules (e.g. depending on quantity). Granting and changing discounts is the exclusive right of the Seller.

6.4. The Seller may change prices at any time; the change takes effect upon publication on the Platform and does not affect orders already accepted.

6.5. Pricing errors: if, despite the Seller's diligence, a product is displayed at an obviously incorrect price (e.g. "0" or a price significantly different from the usual price of the product as a result of a technical or input error), the Seller is not obliged to deliver the product at the incorrect price. The Seller will inform the Partner and propose the correct price; the Partner may accept the new price or cancel the order free of charge.

7.1. The technical steps for concluding the contract are as follows:

  • the Partner logs in and adds products to the cart;
  • in the cart, the Partner checks the products, quantities, delivery address, shipping cost and total, and may correct any input errors at any time before submitting;
  • the Partner chooses an available payment method, accepts these Terms and submits the order;
  • the Platform automatically confirms receipt of the order by e-mail;
  • the Seller checks the order and accepts it by issuing a pro forma invoice, by confirming dispatch or by any other express confirmation.

7.2. The automatic acknowledgement of receipt does not constitute acceptance of the order. The contract is deemed concluded when the Seller accepts the order within the meaning of point 7.1. If the Partner does not receive the acknowledgement within 48 hours of submitting the order, please contact customer service.

7.3. Some orders may go through additional steps before acceptance: approval by the administrator of the Partner's account, setting of the shipping rate (for destinations with a "rate on request") or approval of exceeding the trade credit limit. The status of the order can be followed in the "Orders" section of the account.

7.4. The contract is concluded in Romanian (or in the language in which the Partner uses the Platform, the Romanian version being the reference version). Orders and related documents are archived by the Seller and can be consulted by the Partner in the "Orders" section of its account.

7.5. The Seller may refuse or cancel an order, informing the Partner, in particular if: the product is no longer available; there is an obvious pricing or description error; payment or payment security cannot be confirmed; the Partner has overdue unpaid invoices; there is a suspicion of fraud or misuse of the Platform. Amounts already paid for a cancelled order are refunded in full.

7.6. The Partner may cancel an order free of charge until it is handed over to the courier, by e-mail or telephone. After handover to the courier, the order can no longer be cancelled; the provisions on returns apply (chapter 12).

8.1. Payment methods:

  • bank transfer on the basis of a pro forma invoice, to the accounts indicated in chapter 1 and on the pro forma invoice;
  • deferred payment, for partners with a cooperation agreement and an approved credit limit;
  • cash on delivery, under the conditions agreed with the Seller;
  • card payment, through the payment processor Stripe, only when this option is displayed on the Platform. Card data are not stored by the Seller.

8.2. For new partners, the first deliveries are paid in advance or cash on delivery. Extended payment terms (e.g. 30, 45 or 60 days depending on monthly volume) are granted only on the basis of a cooperation agreement and may be subject to security (e.g. a cheque or promissory note), in accordance with the conditions published on the "Payment terms" page and the individual contract.

8.3. Orders paid in advance are shipped after receipt of payment. If the pro forma invoice is not paid within the period indicated on it, the Seller may cancel the order.

8.4. The tax invoice is issued by GLOBIZ GROUP SRL from Romania and sent electronically. For partners in Romania, invoices are also transmitted through the national RO e-Factura system, in accordance with the tax legislation in force.

8.5. In the event of late payment, the Partner owes, without the need for prior notice, the late-payment interest provided for by Romanian Law no. 72/2013 on measures to combat late payment in commercial transactions between professionals (or the late-payment interest agreed in the cooperation agreement), as well as debt recovery costs. As long as there are overdue unpaid invoices, the Seller may suspend deliveries or make them subject to advance payment.

8.6. Retention of title: delivered products remain the property of the Seller until the price has been paid in full (Article 1684 of the Romanian Civil Code). However, the risk passes to the Partner upon delivery of the products, in accordance with chapter 10.

9.1. Partners in Romania are invoiced with VAT at the statutory rate in force.

9.2. Partners from other EU Member States that have an intra-Community VAT number valid in VIES on the date of invoicing are invoiced for the intra-Community supply without VAT (exempt with right of deduction, with the reverse-charge mechanism applied by the buyer), provided that the products are actually transported to another Member State.

9.3. For partners without a valid intra-Community VAT number, VAT is applied in accordance with the rules applicable to the country of delivery. The Partner must immediately notify any change in its VAT status.

10.1. Products are delivered by partner courier companies (mainly GLS) to the delivery address indicated by the Partner in the order. We do not guarantee delivery at a fixed time.

10.2. Romania: for products in stock, orders accepted on working days by 14:00 are shipped the same day and are normally delivered on the next working day (24 hours); in general, the delivery time is 24–48 working hours. Orders accepted after 14:00 or on non-working days are shipped on the next working day.

10.3. Other countries: international delivery is made by GLS, only with prior agreement; the delivery time depends on the destination country and the rate is calculated according to zone and weight (maximum 31.5 kg per parcel). For some destinations the rate is set on request and communicated before the order is accepted.

10.4. The shipping cost is shown in the cart before the order is submitted. Shipping is free above the net value thresholds set by the Seller for the country of delivery (currently: Romania — 700 RON, Hungary — 75,000 HUF, Greece — 4,000 EUR, excluding VAT); the Seller may change these thresholds, and the new value is shown in the cart.

10.5. Delivery times are indicative. If a product is not immediately available, the Partner is informed of the new delivery time and may cancel that product. In the event of a significant delay compared with the communicated delivery time, the Partner may cancel the undelivered products free of charge.

10.6. The risk of loss of or damage to the products passes to the Partner when the parcel is handed over at the delivery address. If the Partner organises transport itself or collects the products from the Seller's premises, the risk passes when the products are handed over to the Partner or to its carrier.

10.7. If delivery cannot be made for reasons attributable to the Partner (wrong address, recipient absent or unreachable, unjustified refusal), the costs of return and redelivery are borne by the Partner.

11.1. On receipt of the parcel, the Partner checks the integrity of the packaging and the number of parcels in the presence of the courier. Any visible damage must be recorded in a report drawn up with the courier; failing this, the Seller may reject complaints about transport damage.

11.2. The Partner checks the quantities and the conformity of the products with the invoice and reports any missing, wrong or damaged products, with photographs, within 2 working days of receipt, to iosif.budai@globiz.ro. Later complaints concerning quantity or apparent defects cannot be taken into account.

11.3. If the complaint is justified, the Seller delivers the missing or correct products or issues a credit note, at its own expense.

12.1. Since contracts are concluded between professionals, the statutory 14-day right of withdrawal under Government Emergency Ordinance no. 34/2014 does not apply.

12.2. Conforming products may be returned only with the Seller's prior written consent, based on an individual decision. Products must be new, unused, complete, in their original undamaged packaging and resaleable. As a rule, the following are not accepted for return: products discontinued or whose packaging has changed; products specially procured for the Partner's order; products that have been opened, installed, damaged or are incomplete; quantities that do not correspond to the packaging unit; products not supplied by the Seller.

12.3. Return requests are sent to iosif.budai@globiz.ro and must include the order or invoice number, the product codes and quantities and the reason. The Seller communicates its decision and the shipping instructions. The cost of transport for returning conforming products is borne by the Partner, unless otherwise agreed.

12.4. Defective products are returned in accordance with chapter 13 (warranty).

13.1. Products are covered by a warranty against manufacturing defects, usually 2–3 years depending on the product category, and a lifetime warranty* for alarm systems, unless a different period is stated in the product description, the warranty certificate or the accompanying documents. Details are given on the "Warranties" page.

13.2. If a defect appears during the warranty period, the Seller repairs the product or replaces it with a new one; if neither is possible, it refunds the price or issues a credit note. The Seller may inspect the reported defect before deciding on the remedy.

13.3. To claim under the warranty, the following are required: the completed warranty certificate, the invoice (or the receipt issued to the end user) and, for products requiring installation, the work estimate issued by an authorised service centre. Products requiring installation are covered by the warranty only if they have been installed by an authorised service centre.

13.4. Return shipping costs for products under warranty are borne by the Seller, only if transport is carried out by the courier approved by the Seller.

13.5. The warranty does not cover: normal wear and tear; defects caused by incorrect installation, improper use, overvoltage, accidents, unauthorised interventions or failure to follow the instructions; modified or mechanically damaged products. If the defect is found not to be covered by the warranty, the inspection and transport costs may be invoiced to the Partner.

13.6. The commercial warranty described above is supplemented by the statutory warranty against defects provided for by the Romanian Civil Code (Article 1707 et seq.), to the extent that it has not been limited by these Terms in relations between professionals.

14.1. The Seller is liable only for direct and foreseeable damage caused by culpable breach of its obligations, up to the value of the products in the order concerned.

14.2. The Seller is not liable for: loss of profit, loss of customers, claims by the Partner's customers or other indirect damage; damage caused by improper installation or use of the products or by the choice of an incompatible product; temporary interruptions of the Platform caused by maintenance, internet service providers or cyber attacks.

14.3. The above limitations do not apply in the event of wilful misconduct or gross negligence, to damage to life, bodily integrity or health, or in other cases where the law does not permit limitation of liability.

14.4. Using the Platform implies knowledge and acceptance of the technical limitations of the internet. The Partner protects its own equipment (up-to-date antivirus software, security updates).

Neither party is liable for non-performance or delayed performance of its obligations caused by force majeure or fortuitous events within the meaning of Article 1351 of the Romanian Civil Code (e.g. natural disasters, war, epidemics, measures taken by authorities, strikes, transport blockages, interruptions of supply from manufacturers). The affected party informs the other party as soon as possible. If the situation lasts more than 30 days, either party may terminate the contract in respect of the obligations not yet performed, without compensation.

The content of the Platform (texts, technical descriptions, photographs, videos, graphics, logos, the CARGUARD trademark, the structure of the database) is the property of GLOBIZ GROUP SRL or its partners and is protected by copyright and trademark law. The Partner may use product photographs, descriptions and videos exclusively to promote and resell products purchased from the Seller, including through the data feeds and marketing materials made available. Any other use, including automated data extraction (scraping) or use of the CARGUARD trademark for other purposes, requires the Seller's written consent.

17.1. The personal data of the Partner's representatives are processed in accordance with the Privacy Policy (GDPR page) and the Cookie Policy, which form an integral part of these Terms.

17.2. Communications concerning the account and orders are sent by e-mail, telephone or WhatsApp to the contact details provided by the Partner. Commercial communications (newsletter) are sent only with the Partner's consent, confirmed by double opt-in, and unsubscribing is possible at any time.

The Partner undertakes to use the Platform only for lawful purposes and in accordance with its intended use. The following are prohibited: attempting to gain unauthorised access to systems or to other partners' accounts; disrupting the operation of the Platform; automated data extraction; creating accounts with false data. The Seller may suspend or close the account of a Partner who breaches these obligations, without prejudice to its right to compensation.

The Seller may amend these Terms; the new version enters into force on the date of publication on the Platform and applies to orders placed after that date. Orders already submitted are governed by the version in force at the time they were placed. Significant changes are communicated to partners by e-mail or by a message displayed on the Platform.

20.1. Contracts concluded through the Platform are governed by Romanian law, in particular the Romanian Civil Code and Romanian Law no. 365/2002 on electronic commerce.

20.2. The parties shall attempt to settle any dispute amicably within 30 days of its written notification. Failing agreement, the dispute shall be settled by the competent courts at the Seller's registered office.

20.3. Information for consumers: the Romanian National Authority for Consumer Protection (ANPC) — www.anpc.ro; alternative dispute resolution (SAL) — anpc.ro/ce-este-sal. The European Online Dispute Resolution platform (ODR) was closed on 20 July 2025 under Regulation (EU) 2024/3228. As the Platform is intended exclusively for professionals, these procedures are mentioned for information purposes only.

21.1. If any clause of these Terms is declared null or unenforceable, the remaining clauses remain in effect, and the clause concerned is replaced by a valid provision as close as possible to the intention of the parties.

21.2. These Terms are drawn up in Romanian and translated into the other languages of the Platform; in the event of any discrepancy, the Romanian version prevails.

21.3. Failure by the Seller to exercise any right under these Terms does not constitute a waiver of that right.
